Terms of use

The terms that govern your use of our websites and previews.

These Terms of Use (“Terms”) govern your access to and use of NaviKind Labs websites, including navikindlabs.com, and any previews, demonstrations, forms and surveys we offer on them (together, the “Services”), operated by NaviKind Labs LLC, a New Jersey limited liability company (“NaviKind Labs,” “we,” “us” or “our”). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. Purpose of the Services

The Services provide information about NaviKind Labs and its work, and may include previews and demonstrations of products in development. They are not an offer to sell or a solicitation of an offer to buy any security, product or service. Statements about our plans, products in development and expected capabilities are forward-looking, reflect our current intentions and may change without notice.

2. Previews and demonstrations

We may give you access to a private preview or demonstration of a product in development. A preview is a representation of a prototype and may differ from any product we release. It uses invented examples and is provided for evaluation and feedback only. Access we give you is personal to you. Please do not share it, or copy or publish preview content, without our written permission. We may change or end a preview at any time.

3. No professional advice

Nothing in the Services is legal, financial, medical, educational, tax or other professional advice, and no professional relationship is created by your use of the Services or by corresponding with us. Consult a qualified professional about your circumstances.

4. Intellectual property

The Services and their content, including text, graphics, video, design, logos and code, are owned by NaviKind Labs or its licensors and are protected by intellectual property laws. NaviKind Labs and its logo are trademarks of NaviKind Labs. Other names and logos that appear in the Services belong to their owners, and their appearance does not mean they endorse or sponsor us. We grant you a limited, revocable, nonexclusive, nontransferable license to view the Services for your personal or internal business purposes. You may link to our public pages and quote brief passages with attribution. You may not otherwise copy, modify, distribute or create derivative works from the Services, or use our name or marks in a way that suggests endorsement, without our written permission. Third-party typefaces and other materials are used under their own licenses, listed in our license notices.

5. Acceptable use

You agree not to:

  • use the Services in violation of any law or regulation;
  • attempt to gain unauthorized access to the Services or their systems, or interfere with their operation, except for good-faith security research conducted under the policy on our Security page;
  • use automated means to access the Services in a way that exceeds our robots.txt directives or places an unreasonable load on our infrastructure; or
  • misrepresent your identity or affiliation, or submit false information through a form.

6. Feedback and submissions

We welcome feedback and correspondence. Unless we have agreed otherwise in a signed writing, anything you send us, including feedback, answers to forms and surveys, ideas and suggestions, is not confidential, and we may use it without obligation to you. Please do not send us confidential or proprietary information. If you wish to share it, ask us first so that an appropriate agreement can be put in place.

7. Third-party sites and services

The Services may link to or open sites and services operated by others. We do not control them and are not responsible for their content, policies or practices. Your use of them is governed by their own terms.

8. Privacy

Our Privacy Policy explains how we handle personal information in connection with the Services.

9. Disclaimer of warranties

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, NaviKind Labs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and noninfringement, and any warranty that the Services will be uninterrupted, error-free or free of harmful components. Information in the Services, including figures attributed to third-party sources, is provided for general information, may not be current and should be verified at its source before you rely on it.

10. Limitation of liability

To the fullest extent permitted by law, NaviKind Labs and its members, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Services or these Terms will not exceed one hundred U.S. dollars (US$100). Nothing in these Terms limits liability for fraud, gross negligence or willful misconduct, or any other liability that New Jersey law does not allow to be limited.

11. Indemnification

You agree to indemnify NaviKind Labs and its members, officers, employees and agents against third-party claims, and the resulting losses and reasonable attorneys’ fees, to the extent they arise from your violation of these Terms or of law in connection with your use of the Services.

12. Governing law and venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New Jersey have exclusive jurisdiction over any dispute arising out of or relating to the Services or these Terms, and you consent to personal jurisdiction there.

13. Changes

We may revise these Terms by posting an updated version on this page with a new effective date. A revision applies only to use of the Services after its effective date and does not apply to any dispute that arose before that date.

14. General

If any provision of these Terms is held unenforceable, the other provisions remain in full effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and NaviKind Labs about your use of the Services. A separate written agreement between you and NaviKind Labs governs its own subject matter. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets.
